TERMS OF SERVICE

These Terms of Service (“Terms”) govern your access to and use of aiport.trade (the “Service”), a managed deployment and operations platform for Hermes Agent instances (“Agents”), operated by aiport (“aiport”, “we”, “us”, or “our”). By accessing or using the Service, you (“Operator”, “you”, or “your”) agree to be bound by these Terms. If you do not agree, do not access or use the Service.

1. Service Description

The Service provides managed Hermes Agent operations on the Base mainnet, including agent provisioning on dedicated infrastructure, inference routing through Venice AI, isolated per-agent wallet custody via Bankr, and an operator console for status monitoring, balance inspection, restart control, and Telegram integration. The Service is delivered as a hosted subscription; we provide the runtime, the inference pool, and the operational tooling required to keep your Agent running.

The Service does not include trading strategy, market making, financial advice, or any guarantee of Agent performance, profitability, or uptime beyond what is expressly stated in a service level agreement signed between you and aiport. Unless otherwise specified, the Service is provided on a best-effort basis.

2. Account and Access

Access to the Service is invite-only. To become an Operator, you must either (a) hold a valid invite token issued by aiport, (b) be selected through the Operator Grant Program, or (c) be enrolled in a paid Operator tier such as the Founder Tier. Authentication is bound to the Google account associated with your invite; you may not share, transfer, resell, or sublicense your access.

You are responsible for maintaining the confidentiality of your account credentials, the Telegram bot token you connect to your Agent, and any wallet keys, API keys, or session tokens issued to you through the operator console. You agree to notify aiport without undue delay upon becoming aware of any unauthorized access or use of your account.

We may suspend or revoke your access at any time, with or without notice, where we reasonably believe you have violated these Terms, where required by law, or where your use of the Service is materially disruptive to other Operators or to the underlying infrastructure.

3. Payment

The Service is offered through tiered subscriptions. The Founder Tier is offered at USD $19 per month, locked for a twelve (12) month minimum commitment from the date of activation. Additional tiers may be introduced and their pricing will be published in the operator console and at aiport.trade.

Billing is processed through aiport's billing provider. By providing payment information, you authorize aiport (and its billing provider) to charge the applicable fees to your designated payment method on a recurring monthly basis until you cancel in accordance with these Terms. Operators selected through the Operator Grant Program receive the stated stipend at no cost for the stipend period; after the stipend period ends, continued use of the Service is subject to the standard tiers.

All amounts are stated in U.S. dollars and are exclusive of taxes, duties, or similar government assessments, all of which are your responsibility. Late or failed payments may result in suspension of your Agent.

4. Refund Policy

Subscription fees are non-refundable for partial billing periods. If you cancel mid-cycle, your Agent will continue to run until the end of the paid period, after which the Service will be terminated. We do not provide prorated refunds for unused portions of a billing period.

If you are on a fixed-term commitment such as the Founder Tier (12-month lock), cancellation before the end of the committed term does not relieve you of the obligation to pay the remaining months of the term unless aiport agrees otherwise in writing.

In the event of a material outage or a failure on aiport's side that prevents your Agent from operating for a sustained period, we may, at our sole discretion, issue a service credit applied to a future billing period. Service credits are not redeemable for cash.

5. Acceptable Use

You agree not to use the Service, and not to permit your Agent to be used, for any of the following:

  • Any activity that violates applicable law, regulation, sanctions program, or third-party rights.
  • Market manipulation, wash trading, spoofing, front-running, or any other conduct prohibited by securities, commodities, or anti-fraud laws in any jurisdiction in which you operate.
  • Spam, harassment, automated abuse of Telegram or other communication channels, or the operation of inauthentic accounts.
  • Abuse of the Venice inference pool, including but not limited to attempts to extract pooled API keys, exceed assigned rate limits, resell inference capacity, or use the Service as a generic inference proxy unrelated to autonomous Agent operations.
  • Reverse engineering, scraping, or attempting to circumvent the operator console, the orchestrator, or the underlying infrastructure.
  • Storing or transmitting malware, illegal content, child sexual abuse material, or content that infringes the intellectual property rights of others.

We reserve the right to investigate suspected violations, to suspend Agents or accounts implicated in such violations, and to cooperate with law enforcement to the extent required by law.

6. Intellectual Property

As between you and aiport, aiport owns and retains all right, title, and interest in and to the Service, including the orchestrator, the operator console, the Hermes Agent integration layer, the provisioning pipeline, our brand, and all related software, content, and documentation. No rights are granted to you by implication, estoppel, or otherwise other than the limited right to use the Service in accordance with these Terms.

You retain ownership of the configuration of your Agent, the prompts you author, the outputs your Agent generates, and any custom data you load into your Agent's memory. You grant aiport a non-exclusive, worldwide, royalty-free licence to host, process, transmit, and back up such material solely to the extent necessary to operate the Service.

Feedback you provide about the Service may be used by aiport without obligation to you, but we will not publicly attribute feedback to you without your consent.

7. Limitation of Liability

The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, aiport disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising out of course of dealing or usage of trade.

aiport does not endorse, verify, or assume responsibility for outputs generated by your Agent. Inference is provided by Venice AI as a third-party service and is subject to Venice's own terms and availability. On-chain actions executed by your Agent on the Base mainnet are final and irreversible; aiport cannot reverse, refund, or recover funds lost as a result of Agent behaviour, strategy errors, market movement, smart-contract risk, or third-party exploits.

To the maximum extent permitted by law, aiport's aggregate liability arising out of or relating to the Service, whether in contract, tort, or otherwise, will not exceed the greater of (a) the fees you paid to aiport in the twelve (12) months immediately preceding the event giving rise to the claim or (b) USD $100. In no event will aiport be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill.

8. Termination

You may terminate your subscription at any time through the operator console or by contacting operations@aiport.trade. Termination becomes effective at the end of the then-current billing period, subject to any fixed-term commitment described in Section 3.

aiport may terminate or suspend your access immediately if you materially breach these Terms, if continued provision of the Service would expose aiport to legal or regulatory risk, or if the Service is discontinued in your jurisdiction. Where reasonably possible, we will provide advance notice.

On termination, your Agent will be shut down, your encrypted secrets will be scheduled for deletion according to the retention schedule described in our Privacy Policy, and your access to the operator console will be revoked. Sections that by their nature should survive termination (including Sections 6, 7, 9, and 10) will survive.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

Nothing in this Section limits your statutory rights as a consumer where those rights cannot lawfully be waived under the law of your place of residence.

10. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the effective date at the top of this page and, where appropriate, notify active Operators by email or via the operator console at least thirty (30) days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
